1. Agreement to Terms

By accessing or using CIDCORE API services ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users, including without limitation users who are browsers, customers, merchants, vendors, and/or contributors of content via the CIDCORE API.

2. Description of Service

CIDCORE provides AI-powered industry intelligence databases accessible via API and embeddable web widgets. The Service includes:

• Real-time data feeds for various industry sectors including stock trading, energy markets, biotechnology, and world affairs
• AI-powered analytics including opportunity scoring, predictions, and market analysis
• Embeddable chat interfaces for website integration with industry-specific AI agents
• API access for programmatic integration with your applications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the security of your account credentials.

You may revoke any API key at any time through your dashboard. Revoked keys will immediately cease to function. We reserve the right to revoke any API key at our discretion, with or without cause.

4. Subscription and Billing

4.1 Subscription Tiers

• Free Tier: Limited API access with rate restrictions
• Professional Tier: Enhanced API access with increased rate limits
• Enterprise Tier: Full API access with priority support
• Unlimited Tier: Unlimited API access across all industry categories

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change subscription fees with 30 days' notice.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, your access will continue until the end of your current billing period, after which your account will revert to the Free Tier.

5. Acceptable Use

5.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to send spam or unsolicited communications
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell, redistribute, or commercially exploit access to the Service without explicit written permission

5.2 Rate Limits

Each subscription tier has specific rate limits. Excessive API calls beyond your tier limits may result in temporary suspension or automatic upgrade requirements.

6. Data and Financial Disclaimers

6.1 Data Accuracy

While we strive to provide accurate and timely data, we make no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any data provided through the Service. Market data may be delayed and should not be used for time-sensitive trading decisions.

6.2 No Liability for Trading Losses

CIDCORE, its operators, employees, and agents shall not be liable for any trading losses, investment losses, business interruptions, or other damages resulting from the use of or reliance on the Service. All trading and investment activities involve risk, and you are solely responsible for your own decisions.

6.3 AI-Generated Content

AI-powered analytics, predictions, and recommendations are generated by automated systems and may not always be accurate. Past performance does not indicate future results. AI outputs should be used as one input among many in your decision-making process.

7. Intellectual Property

7.1 Our Property

The Service, including all content, features, functionality, AI models, databases, and materials, is owned by CIDCORE and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without explicit permission.

7.2 Your Content

You retain ownership of any data you submit to the Service. By submitting data, you grant CIDCORE a license to use that data solely for the purpose of providing the Service to you.

8. Privacy and Data Collection

8.1 Minimal Data Collection

CIDCORE collects only the minimum information necessary to provide the Service:

• Account Information: Name and email address for account creation and communication
• Usage Data: API call logs for rate limiting and usage tracking
• Billing Information: Processed by Stripe (our payment processor); we do not store credit card information

8.2 No Sale of Information

CIDCORE does not sell, rent, or trade your personal information to third parties. We do not share your data with advertisers or data brokers.

8.3 Third-Party Sharing

We only share your information with:

• Stripe: For payment processing (subject to Stripe's privacy policy)
• Service Providers: Limited sharing with vendors who help operate the Service (e.g., hosting, email delivery)
• Legal Requirements: When required by law or to protect our rights

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIDCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR DATA USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid to CIDCORE in the 12 months preceding the claim, or $100 if you have not paid anything.

11. Indemnification

You agree to indemnify, defend, and hold harmless CIDCORE and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service will immediately cease.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
